BEFORE Establishing an account with corporatecorrect.com, PLEASE CAREFULLY READ THESE TERMS OF USE.  You are advised to seek the help of a licensed attorney if you need help with the subject matter herein.  Before you establish an account with Corporate Correct.com, you must signify that you agree with the terms of Use and warrant that you are at least 18 years of age and possess the legal capacity to enter into a binding contract by checking "I Agree" below.

By using the Corporate Correct.com website (the "Site"), you agree to follow and be bound by these terms of use.  References to the "Company" shall include reference to CorporateCorrect.com, its parent company, and all directors, officers, employees, agents and assigns of CorporateCorrect.com and Corporate Correct, LLC. 

It is your responsibility to review these Terms of Use periodically, and if at any time you find these Terms of Use unacceptable or if you do not agree to these terms of use, please do not use this Site. We may revise these terms of use at any time without notice to you. If you have any questions about these terms of use, please contact us.

1.         Copyright and Trademark.

The Company is the owner of the entire content of the Site, including but not limited to copyrights and trademarks.  The entire contents of the Site are protected by international copyright and trademark laws.  YOU MAY NOT MODIFY, COPY, REPRODUCE, REPUBLISH, UPLOAD, POST, TRANSMIT, OR DISTRIBUTE, IN ANY MANNER, THE MATERIAL ON THE SITE, INCLUDING TEXT, GRAPHICS, CODE AND/OR SOFTWARE. You may print and download portions of material from the different areas of the Site solely for your own non-commercial use provided that you agree not to change or delete any copyright or proprietary notices from the materials.

Publications, products, content or services referenced herein or on the Site are the exclusive trademarks or servicemarks of the Company. Other product and company names mentioned in the Site may be the trademarks of their respective owners.

2.         Privacy Policy.  CorporateCorrect.com's privacy policy is expressly incorporated into these Terms of Use by reference. 

3.         Scope of Services.  The Site and the Company provides general legal information, but not legal advice to users.  In the even that a user chooses to purchase service from CorporateCorrect.com, a computer based document preparation service is utilized to prepare documents for such users.  IN NO EVENT IS LEGAL ADVICE GIVEN TO USERS AND THE USE OF THE COMPANY'S SERVICES IS NOT A SUBSTITUTE FOR THE ADVICE OF A LICENSED ATTORNEY.

4.         Accounts.  If you decide to open an account to use or access certain portions of the Site, you must complete the registration process.  You must provide accurate information as well as a user name and password.  You may not use the account, username, or password of another user and you are responsible for maintaining the confidentiality and security of your password.  Your right to use the Site, and any password or right given to you to obtain information or documents is not transferable or assignable.  You agree to immediately notify CorporateCorrect.com of any unauthorized use of your account, user name or password.  CorporateCorrect.com shall not be liable for any loss that you incur as a result of someone else using your account or password, with or without your knowledge.  You may be held liable for any losses incurred by CorporateCorrect.com, its affiliates, officers, directors, employees, consultants, agents, and representatives due to someone else's use of your account or password.  CorporateCorrect.com reserves the right, in its own discretion, to delete information that you provide or to suspend any account without notice. 

5.         Representations and Warranties.  You hereby represent and warrant to the Company:

a.         You understand and agree that no legal advice is given by the Company, no attorney-client relationship is formed and you represent yourself in this matter.  Furthermore, if you require any legal advice, you shall seek the assistance of an attorney at law. 

b.         You are at least eighteen years of age and have the legal ability to enter into a binding contract. 

c.         You understand that no court or any other governmental entity or authority has evaluated or approved the Company's knowledge or experience, or the quality of the Company's services.

d.         You understand that the legal information on this site is not legal advice and is not guaranteed to be correct, complete or up-to-date.  The law changes rapidly, is different from jurisdiction to jurisdiction, and is also subject to interpretation by different courts and certain government and administrative bodies.  Accordingly, the Company cannot guarantee that all the information on the site is completely current.

e.         All documents provided by the Company are provided on a non-exclusive basis and you shall not reproduce, sell or otherwise disseminate such materials without the express written consent of the Company. 

f.          When utilizing the Site or materials provided by the Company, you agree to comply with all applicable laws and regulations of every nature, including but not limited to all intellectual property laws. 

6.         No Warranty. 

The Site is provided on an "AS IS" and "AS AVAILABLE" basis without any representation or warranty of any kind whether express or implied, including but not limited to the implied warranties of satisfactory quality, fitness for a particular purpose, non-infringement, compatibility, security and accuracy.

To the extent permitted by law, the Company will not be liable for any indirect or consequential loss or damage whatever (including without limitation loss of business, opportunity, data, profits) arising out of or in connection with the use of the Site.

The Company makes no warranty that the functionality of the Site will be uninterrupted or error free, that defects will be corrected or that the Site or the server that makes it available are free of viruses or anything else which may be harmful or destructive.

Any materials obtained through the use of the Site are utilized at your own discretion and at your own risk.  The Company shall have no responsibility for any damage to your computer system or loss of data that results from the download of any content, materials, information or software.

7.         Indemnification.

You agree to indemnify, defend and hold harmless the Company from and against all losses, expenses, damages and costs, including reasonable attorneys' fees, resulting from or in any way connected with your access to or use of the Site or any service provided by the Company or from any violation of these Terms of Use (including negligent or wrongful conduct) by you or any other person accessing the Site or utilizing the Company's services.

8.         Governing Law and Arbitration.  By using this Site, you agree that your rights and obligations shall be governed by and interpreted in accordance with the laws of the State of Nevada, excluding its choice of law rules.  Any legal action or proceeding relating to your access to or use of the Site or any services provided by the Company shall be instituted in Clark County Nevada.  By using this site you submit to the jurisdiction of the courts of the State of Nevada located in Clark County and waive any legal objections to venue in such place. 

Any legal controversy or legal claim arising out of or relating to the Site and the Company's services, excluding legal action taken by the Company relating to Site operations and/or intellectual property, shall be settled solely by confidential binding arbitration in accordance with the arbitration rules of the American Arbitration Association (the "AAA") applicable at the time the arbitration commences. The arbitration shall be conducted in Las Vegas, Nevada. Each party shall bear its own attorneys' fees. Each party shall bear one-half of the arbitration fees and costs incurred through the AAA.

9.         Acknowledgement.  By using the Company's services or accessing the Site, you acknowledge that you have read these Terms of Use and agree to be bound by them.
